What is that Word Wednesdays - Articles of Incorporation

The Articles of Incorporation are the second piece of the governing documents of a Community Association. The Articles define the association as a corporation and establish the board and its governance role.

By law, the articles must contain the name, address and purpose of the corporation along with the manner for electing directors and the process for amending the articles.

For a condo or HOA, the articles create and define the entity that is responsible for the maintenance, management and operation of the community association and the common property. The articles define membership, give voting rights and establish the Board of Directors. The articles also set out procedures to amend the documents and define the limits of authority of the association.

The Articles define the organization of the Association. The third component of the governing documents, the Bylaws define HOW the association operates. This will be covered in a future post.
